Unless otherwise agreed in a signed project agreement, ownership of final Deliverables transfers to the Client upon full payment of all fees due for that engagement. CoxFuture retains ownership of its pre-existing tools, frameworks, libraries, and general know-how used in delivering the Services, and may reuse non-confidential methods and components in work for other clients.
Both CoxFuture and the Client agree to keep confidential any non-public business, technical, or financial information shared during the course of an engagement, and to use it only for the purpose of delivering or receiving the Services. This obligation continues after a project or engagement ends, except where disclosure is required by law.
Our website and general content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
For paid Services, CoxFuture will perform the agreed work using reasonable skill and care consistent with industry standards. We do not warrant that software Deliverables will be entirely free of defects, as is standard in the software industry; instead, we will address material defects reported within any warranty period specified in the project agreement.
To the fullest extent permitted by law, CoxFuture Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising out of or related to your use of our website or Services. Our total aggregate liability for any claim arising from a specific engagement shall not exceed the total fees paid by the Client for that engagement in the twelve (12) months preceding the claim.
Either party may terminate an ongoing project engagement in accordance with the termination provisions set out in the applicable proposal or agreement, typically with written notice. Upon termination, the Client remains responsible for payment of fees for work completed up to the termination date, and CoxFuture will deliver any completed Deliverables for which payment has been received.
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh, India.
We may revise these Terms from time to time to reflect changes in our services, business practices, or legal requirements. Updates will be posted on this page with a revised "Last Updated" date. Continued use of our website or Services after changes are posted constitutes acceptance of the updated Terms.
